By-laws of Rapid City Garden Club
Adopted 1985, Amended in 2000, 2006, 2021, 2024
SECTION I. MEETINGS: Regular meetings shall be held on the fourth Thursday of each month at a suitable location. Special meetings may be called by a majority vote of the Executive Board.
SECTION II. OFFICERS & DIRECTORS: The Elected Officers and Directors of The Rapid City Garden Club, shall be Secretary and Treasurer, Fundraising Director, Program Director, Projects Director. No two members of a household shall hold elected office at the same time. Officers and Directors are to be installed at the annual meeting. The Officers and Directors will constitute the Executive Board. The Executive Board shall meet prior to scheduled club meetings to present business for consideration to the members. The Officers and Directors present will constitute a quorum of the Executive Board.
SECTION III. COMMITTEES: The Executive Board shall appoint special committees as needed.
SECTION IV. DUES: The annual dues per individual or per household of two or more members may be adjusted by vote of the membership as needed. Dues shall be paid on or before the annual meeting for the calendar year. Members shall receive a confirmation for dues paid.
SECTION V. VOTING: Members who have paid their dues for the current year shall be in good standing and entitled to vote.
SECTION VI. NOMINATING COMMITTEE: There shall be a Nominating Committee of the Executive Board members Secretary, Treasurer and a Director. Nominees shall be presented to the membership in October. Nominations may be made from the floor.
SECTION VII. ANNUAL AUDIT: The Executive Board shall obtain an audit for presentation to the membership by the first quarter of the calendar year.
SECTION VIII. PARLIAMENTARY AUTHORITY: Roberts Rules of Order Revised shall govern all points of procedure not covered by the Articles of Incorporation or By-Laws.
SECTION IX. BY-LAWS: These By-Laws may be amended by a majority vote at any Regular, Special, or Annual meeting, provided that the proposed amendments shall have been presented at the previous meeting.
SECTION X. HONORARY MEMBERSHIP: A person may be nominated on basis of years of service, positions held, or club contributions. Nominations must be submitted by a club member in writing to the Executive Board no later than the September meeting and if selected by the Executive Board the Honorary will be announced by end of calendar year.
SECTION XI. SCHOLARSHIP ENDOWMENT FUND: An established fund to recognize a Junior or Senior SDSU student majoring in a Plant Sciences Program. The funds are being administered by SDSU. Funds shall be reviewed annually to determine if changes are warranted.
Official Copies of these By-Laws shall be a permanent part of the records of the Executive Board.
