Articles of Incorporation

Adopted 1984, Amended in 2000, 2006, 2008, and 2021, 2024

ARTICLE I. NAME: The name of this Corporation shall be, "The Rapid City Garden Club." 

ARTICLE II. Mission: The Knowledge, Sustainability, and Beautification of Gardening for All Generations.   

ARTICLE III. MEMBERS: Any person interested in gardening may become a member. 

ARTICLE IV. TOLERANCE: This club shall be and always remain non-sectarian and non-political. 

 

ARTICLE V. OFFICERS & DIRECTORS: The Executive Board consists of these officers and directors: 1) Secretary, 2) Treasurer, 3)Fundraising Director, 4) Program Director, 5) Project Director. The Secretary and Directors may be elected for a term of two years not to exceed two terms. The Treasurer may be elected for a term of three years, not to exceed two terms. The Officers and Directors will constitute the Executive Board. The Executive Board shall meet prior to scheduled club meetings to present business for consideration to the members. 

ARTICLE VI. MANAGEMENT: Management of this club shall be vested in the Executive Board.

ARTICLE VII. MEETINGS: The Corporation shall hold an annual meeting, on the regular meeting day of January each year. Business is to include installation of Officers & Directors who were elected in the preceding year. 

ARTICLE VIII. AMENDMENTS: The Articles of Incorporation may be amended at any regular meeting, provided that the proposed changes shall have been reviewed at the previous meeting. A majority vote of the eligible members present is necessary for adoption. Unless otherwise provided for its adoption or in the motion to adopt, an amendment becomes effective at the close of the meeting in which it was adopted. 

ARTICLE IX. LIABILITY: No member shall be liable for the debt of the corporation.  

Official Copies of the Articles of Incorporation shall be a permanent part of the records of the Rapid City Garden Club Archives.
